Terms and Conditions

These terms govern your use of aceitdigital.ca (the "Website") and the services of Aceit Digital Inc. ("Aceit Digital", "we", "us"). By using the Website or engaging our services, you agree to these terms. If you are acting for a business or public sector organization, you confirm you have authority to bind it.

1. Our services

We provide business consulting, digital transformation and AI automation, Agile coaching, technology and cybersecurity training, digital platform builds, and bid and contract services. Each engagement is defined in a proposal, statement of work, contract or invoice ("your agreement"). If your agreement conflicts with these terms, your agreement governs. For public sector clients, the terms of the contract or call-up issued by the buyer govern.

2. Discovery calls and quotes

Discovery calls are free and create no obligation for either party. Quotes and proposals are valid for 30 days unless they state otherwise. Information you submit through our Request a Quote form is handled under our Privacy Policy.

3. Website information

Content on the Website is for general information only and is not legal, financial or tax advice. We work to keep it accurate but may correct errors or update content at any time without notice.

4. No guaranteed outcomes

We commit to delivering the work described in your agreement with professional care. We do not guarantee specific business results, revenue, contract awards, or acceptance onto any vendor list, roster, standing offer or supply arrangement. Those decisions rest with buyers and other third parties.

5. Your responsibilities

You agree to provide accurate information and timely access to the people, systems and decisions needed to deliver the work. Where your delay prevents delivery, timelines extend accordingly. You are responsible for anything submitted in your name, including bids and registrations.

6. Bid and contract services

The following applies to bid strategy, proposal preparation, supplier registration and related services:

All supplier accounts are created in your name, using your credentials, and belong to you.

You agree to prepare all bids independently and not to coordinate pricing, bids or bidding territory with any other party. Bid-rigging is a criminal offence under section 47 of the Competition Act, and misrepresentation or collusion in public procurement can result in debarment under the federal Integrity Regime.

Services must be activated within three (3) months of purchase by providing the information we need to begin. Once activated, setup services are completed within three (3) months, bid and vendor list work typically within six (6) months, and twelve-month engagements within twelve (12) months, as set out in your agreement.

If you do not activate or provide what is needed within the applicable window, we may treat the service as complete for the work performed to that point, after giving you reasonable notice.

7. Fees, payment and taxes

Fees are in Canadian dollars and exclude GST, which is added to each invoice (GST/HST #731109930RT0001). Payment terms, including any instalments, are set out in your agreement. Instalments fall due on their stated dates regardless of progress against milestones unless your agreement says otherwise. Fees for work already performed are non-refundable.

8. Confidentiality

We keep your business information confidential and disclose it only to the extent needed to deliver your services, or where the law requires. We never disclose your pricing, bids or commercial information without your consent. Where we hold your portal credentials during setup, we handle them securely and they remain yours.

9. Intellectual property

The Website, our logo, the Secure Growth Method™, and our templates, frameworks and training materials belong to Aceit Digital or its licensors. Ownership and licensing of deliverables created for you are set out in your agreement. Using the Website does not give you any right to reproduce our materials.

10. Training and education

Our training, workshops and coaching are educational. They do not guarantee any result and do not replace legal, financial or tax advice.

11. Third-party links and tools

The Website links to third-party services, such as Google Calendar for booking. Their own terms and privacy practices apply, and we are not responsible for them.

12. Acceptable use

You may not use the Website to break the law, submit false information, upload malicious code, scrape or crawl it, or interfere with its security.

13. Limitation of liability

To the extent permitted by law, our total liability for any service is limited to the fees you paid for that service, and we are not liable for indirect or consequential losses, including lost profit, contracts or opportunities. The Website is provided "as is". Nothing in these terms limits liability that cannot be limited by law, including for fraud.

14. Governing law

These terms are governed by the laws of Alberta and the federal laws of Canada that apply there. The courts of Alberta have exclusive jurisdiction over any dispute.

15. Changes

We may update these terms. The "Last updated" date shows when they last changed. Continued use of the Website after changes means you accept them.
